AGREEMENT
1. The Supplier (we, us, our) and the Hirer (you, your) agree the Review Investigator service will be supplied according to the following Terms and Conditions:

RELATIONSHIP
2. The relationship between the parties shall be as Supplier and Hirer. Grupo Kiwi S.R.L trading as Review Investigator will supply certain services and facilities for the benefit of the hirer.

3. You agree to pay a monthly service fee for the use of the facilities and for management of the service by us. The payment is calendar monthly in advance paid on the same day as the subscription commenced, or the soonest business day thereafter.

4. At our unfettered discretion we may choose to offer you a limited trial of the Service for a limited duration without charging any service fee. At the conclusion of the trial you may continue as a paid subscriber or else we will terminate the Service in accordance with clause 8 hereunder.

ENTITLEMENT
5. For as long as your account remains in credit, you shall be entitled to use of the following facilities:

6. At our unfettered discretion we may choose to offer you a limited trial of the Service for a limited duration without charging any service fee. At the conclusion of the trial you may continue as a paid subscriber or else we will terminate the Service in accordance with clause 8 hereunder.

(a.) a managed database in which you may record customer contact details; and

(b.) an automated email invitation sequence linked to your database contacts; and

(c.) exclusive use of a domain name, on which the service will be delivered; and

(d.) exclusive use of a landing page website, designed to look similar to your primary website, which will be mobile-optimized and will be hosted as a part of the service; and

(e.) use of our investigator service which will select for positive and negative feedback sentiment; and

(f.) use of our forwarding service which will direct visitors who choose to make positive reviews to locations where they may do so; and

(g.) use of our complaint capture service which will enable unhappy customers to express their concerns and suggestions; and

(h.) use of our email service which will forward captured feedback to your supplied email address.

SERVICE STANDARD
6. Although we have selected a hosting provider whose uptime exceeds 99.99% we do not guarantee the service or the domain or the website will always be accessible. In the event of a service interruption we and our suppliers will apply best efforts to restore service but shall not be liable for any losses flowing from such service interruption.

7. In no event shall we, or any of our suppliers, subsidiaries or affiliates, be liable for any indirect, special, incidental or consequential damages including but not limited to loss of use, loss of data, loss of business or profits. To the extent permitted by applicable laws we do not accept any liability for: errors, mistakes or inaccuracies in materials produced for the service; you acting, or failing to act, on any information we advise in connection with the service; any unauthorized access to or use of our service; any interruption or cessation of transmission to or from the Website or the service; or for any other reason. Liability, if any, is limited to an amount equal to the fees paid in the previous month.

TERMINATION
8. In the event that we have granted you a free trial of the Service and if you have not subscribed for the hire of the Service within 48 hours immediately following the conclusion of the free trial then the Service will cease immediately.

9. You may cancel the agreement by sending an email to us within 3 days after any payment and the service will cease as at the due date of the next payment; except that you may cancel at any time within the first 60 days and the service will cease immediately.

10. We may cancel the service if the monthly subscription falls into arrears by 14 calendar days. (We will give you 7 days notice of cancellation if your payment is late by 7 days.)

11. Except as provided for in the Guarantee no refund will be made for partial periods.

12. The Guarantee provides that if you cancel the service within 60 days of subscription we will refund all payments you have made.

APPLICATION
13. We reserve the right to refuse service to any person or organization without explanation.

14. You agree that by clicking the ‘Subscribe Now’ button you have accepted these Terms and Conditions and aver that they describe our complete agreement excluding any other representations whether written or otherwise.
